1. Agreement to Terms

1.1. These terms of use (“Terms”) are entered into by and between you (“you”) and Northeastern University (“Northeastern”, “we,” or “us”), a Massachusetts non-profit educational corporation. Fora.ai (the “Project”) is conducted at Northeastern University. The Project’s [pilot] platform represents the efforts of Northeastern University and is funded by multiple sources, including Northeastern University’s College of Social Sciences and Humanities, and the National Science Foundation. It does not constitute a joint venture or legal partnership between or among any of these entities and Northeastern, and neither these entities nor third parties may rely on it as a joint venture or partnership.

1.2. The following terms and conditions, together with any documents expressly incorporated by reference (collectively, “Terms of Use”), govern your access to and use of the Fora.ai website (the “Website”), the Fora.ai platform (the “Platform”), and associated online services, including any content, functionality and data offered on or through http:fora.ai (the “Site”).

1.3. These Terms of Use constitute a legal agreement between you and us. By using this Website and/or the Platform, you affirm you have read, understood and agree to be bound by these Terms of Use.

1.4. If you do not agree with all of the Terms of Use, you are expressly prohibited from using the Website and the Platform and must discontinue use immediately.

1.5. We reserve the right to make changes or modifications to the Terms of Use at any time for any reason. The latest version of these Terms of Use can be found at https://fora.northeastern.edu/terms-of-use/. We will alert you of any changes to these Terms of Use by updating the [“Last Update”] date on this page. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Platform.

2. User Account

2.1. To access the Platform, you must register with the Website to create a user account and obtain your login credentials. You agree you are responsible for protecting your login credentials from unauthorized use, and you are responsible for any access or activity under those login credentials. You agree to notify us if you believe that any of your login credentials have been or may be used without your authorization. We are not responsible for any loss, damage, or expense resulting from your failure to safeguard your login credentials.

2.2. If you create a user account, you represent, warrant and covenant that:

2.2.1. You are over eighteen (18) years of age;

2.2.2. all information you provide in connection with creating such user account is accurate and you will keep such information up-to-date and accurate through your profile page on the Website;

2.2.3. such user account is, and will be, your sole user account, provided that you may create a user account on behalf of an entity only with our prior consent.

2.2.4. you (i) shall keep your account credentials confidential and secure, (ii) shall not share such credentials with any other person and (iii) shall not cause, allow or assist any person to use your user account or any other user account that is not such person’s user account, provided that an entity that has created a user account may share the credentials therefor with its authorized employees and allow such employees to use such user account, in each case, in accordance with Section 2.2.3; and

2.2.5. you shall be solely responsible and liable for all activities that occur through your user account.

2.3. We may delete any user account in its sole discretion for any reason. If we have deleted your user account, you may not create an additional user account without our prior written consent.

3. User Obligations

3.1. Your right to access and use the Website and the Platform is conditioned on and shall be subject to your compliance with the following:

3.1.1. You shall comply with, and use the Website and Platform solely in accordance with, applicable laws, these Terms of Use and our instruction;

3.1.2. You shall provide attribution (i) with respect to any entity information, to us or to the contributor thereof, or (ii) with respect to any other Project materials, to us or our designee;

3.1.3. If you share any Project materials with any person, you shall cause such person to comply with these Terms of Use;

3.1.4. You shall notify us in writing if you become aware of any infringement, misappropriation, unauthorized use of, or unauthorized access to, the Website or the Platform.

3.2. Prohibited Uses

3.2.1. (a) to develop any registry or other service that is competitive with the services offered by the Platform;

3.2.2. (b) in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property rights or other right of any person;

3.2.3. in a manner or for any purpose that violates any applicable law or agreement to which you are a party, including employment agreements and non-disclosure agreements;

3.2.4. to combine or integrate the services offered by the Platform or Project materials with any software, technology, services, materials or other intellectual property without our prior written consent;

3.2.5. post, transmit or disseminate (i) any false information, including false information about competitors, or (ii) any material that is abusive, obscene, pornographic, defamatory, harassing, grossly offensive, vulgar, threatening, or malicious; or

3.2.6. to aid or implement practices violating basic human rights or civil liberties, including to assist in the creation of databases of identifying information for any government to abrogate any human rights, civil rights, or civil liberties of individuals on the basis of race, gender, gender identity, sexual orientation, religion, immigration status, national origin or otherwise.

3.3. Prohibited Activities

3.3.1. copy, modify, or create derivative works of the Platform or Project materials, in whole or in part, including copying, archiving or duplication of any portion of the Platform or Project materials, except as expressly permitted by Section 2;

3.3.2. rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Platform or Project materials to a third party, except as expressly permitted;

3.3.3. reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Platform or Project materials, in whole or in part;

3.3.4. remove any proprietary notices from the Website, the Platform or Project materials;

3.3.5. interfere with or disrupt, or attempt to interfere with or disrupt, the operation, integrity or performance of the Platform, including by delivering viruses, worms, time bombs, Trojan horses, or other harmful or malicious code;

3.3.6. access or attempt to access any area of the services offered by the Platform that you are not authorized to access, or violate or attempt to violate any security features of the Website or the Platform;

3.3.7. forge user names, manipulate identifiers or otherwise impersonate any other person or misrepresent your identity or affiliation with any person;

3.3.8. otherwise engage in any other activity that we have informed you to be in violation of these Terms of Service.

4. Intellectual Property

4.1. The Platform is protected by copyright and other laws. These Terms of Service don’t grant you any right, title or interest in the Platform, our trademarks, logos or other brand features or intellectual property, or others’ content in the Platform. You agree not to change, translate or otherwise create derivative versions of the Platform, except as expressly permitted.

5. License

5.1. Other than the rights expressly granted to you pursuant to these Terms of Service, you are not granted any right or license, express or implied, to any of our proprietary technology and no license or other rights therein shall be created by implication or estoppel as a result of your use of the Website or the Platform.

5.2. Unless you first obtain our consent, you must not sell, copy, transmit, export, reproduce, modify, distribute, make available to the public any content that you find on the Platform, or create any derivative works from any of the content that you find on the Platform.

6. Intellectual Property / DMCA

6.1. The Website and the information it contains, such as text, images, graphics, data, reports, links, information from third parties, data analysis, services, and other material contained therein and made available on the Website are the property of Northeastern, its affiliates or licensors, and are protected from authorized copying and dissemination by United States copyright law, trademark law, international conventions, database and other intellectual property rights.

6.2. You may not (and may not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Platform. You agree not to modify the Platform in any manner or form, or to use modified versions of the Platform, including (without limitation) for the purpose of obtaining unauthorized access to the Platform.

6.3. You agree not to access the Platform by any means other than through the Website’s interface that is provided by us for use in accessing the Platform. Any rights not expressly granted herein are reserved. All other product names are trademarks or registered trademarks of their respective owners.

7. DMCA

7.1. If You believe any materials accessible on or from the Website infringe Your copyright, You may request removal of those materials (or access thereto) from the Website by contacting us and providing the following information:

a) Your name and contact information (name, address, telephone number and e-mail address); and

b) Identification of the copyrighted work or infringing material that You believe to be infringed. Please describe the work, and where possible include a copy or the location (e.g., URL) of an authorized version of the work.

7.2. In an effort to protect the rights of copyright owners, We reserve the right to terminate, in appropriate circumstances, the accounts of subscribers of this Website and Platform who are repeat infringers.

8.1. The Platform is made available on an “as is” basis without warranties of any kind. We hereby expressly disclaim any warranties of any kind, whether express or implied, including without limitation the warranties of non-infringement, merchantability, and fitness for a particular purpose.

8.2. Northeastern offers no warranties, express or implied, regarding the accuracy, sufficiency or suitability of the Platform or the content of any information accessed via Platform. You have the sole responsibility for inspecting and testing all results and content to your satisfaction before using them. Northeastern makes no warranties or representations whatsoever regarding any goods or services or information provided by any third parties pursuant to your use of the Platform and Northeastern shall not be a party to such transactions or be liable for any costs or damages arising out of either directly or indirectly, the actions or inactions of such third parties.

9. Indemnity

9.1. You agree to indemnify, defend and hold harmless Northeastern, its affiliates, officers, directors, employees, consultants, agents, representatives, licensors, and suppliers, from any and all claims, losses, liability, damages and/or costs (including reasonable attorneys’ fees and costs) arising out of or relating to (1) Your use of the Website and the Platform, its services and/or content; (2) Your violation of these Terms of Service, including without limitation any representations and warranties hereunder and any agreements incorporated by reference; and/or (3) Your infringement, or infringement by any other user of Your account(s), of any intellectual property or other right of any person or entity.

10. Governing Law.

10.1. These Terms of Use shall be governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. You hereby irrevocably and unconditionally (i) consent to submit to the exclusive jurisdiction of the courts of the Commonwealth of Massachusetts and the United States of America located in Suffolk County, Massachusetts (the “Massachusetts Courts”) for any litigation arising out of or relating to these Terms of Use, (ii) waive any objection to the laying of venue of any such litigation in Massachusetts Courts, and (iii) agree not to plead or claim in any Massachusetts Court that such litigation brought therein has been brought in an inconvenient forum.
